This Acceptable Use Policy (the "AUP") governs the use of the SellWorthy software-as-a-service platform made available at app.sellworthy.ai and its related properties (collectively, the "Services") by any Customer, Authorized User, or other user (each, a "User"). This AUP is incorporated into, and forms part of, the SellWorthy Terms of Service (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms.

By accessing or using the Services, each User agrees to comply with this AUP. A violation of this AUP is a material breach of the Terms and may result in the suspension or termination of access to the Services under Section 2.5 and Section 6 of the Terms.

SellWorthy may update this AUP from time to time. Continued use of the Services after an update constitutes acceptance of the updated AUP.

1. Purpose

SellWorthy provides an operating platform for contractors, dealers, and similar service businesses to quote, contract, invoice, collect payment, follow up, and run recurring service programs with their End Customers. The Services are intended to help legitimate service businesses operate and grow. This AUP describes the conduct and content that is not permitted on the Services.

2. Prohibited Conduct

A User shall not, and shall not permit any other person to, use the Services to:

2.1 Violate law or third-party rights

  1. (a) violate any applicable federal, state, or local law, rule, or regulation, including consumer-protection, contractor-licensing, home-improvement, home-solicitation, telemarketing, "do not call," anti-spam, wage-and-hour, tax, and data-privacy laws;
  2. (b) infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, moral right, right of publicity, right of privacy, or other intellectual property or proprietary right of any person;
  3. (c) engage in unfair, deceptive, or abusive acts or practices, including misrepresenting scope of work, warranty, pricing, or affiliation with SellWorthy or any third party;
  4. (d) engage in fraud, money laundering, evasion of sanctions, or funding of illegal activity;
  5. (e) impersonate any person or misrepresent an affiliation with any person or organization, including SellWorthy;
  6. (f) use the Services in any jurisdiction where such use is prohibited by law or where SellWorthy does not offer service.

2.2 Abuse the messaging, contract, and payment features

  1. (a) send communications (email, SMS, voice, chat, or other) to any recipient who has not lawfully consented to receive them, or who has requested to stop receiving them;
  2. (b) send messages that violate the Telephone Consumer Protection Act, the CAN-SPAM Act, the Telemarketing Sales Rule, or any similar U.S. or non-U.S. law;
  3. (c) send communications that are misleading as to the identity of the sender, the nature of the communication, or the response mechanism (including honoring opt-outs and reply keywords);
  4. (d) present a document generated by the Services as an executed contract, invoice, receipt, or signature record when it is not;
  5. (e) initiate any payment through Stripe or any other integrated payment processor without proper authorization from the payer, or in a way that violates the applicable payment-processor rules or the card network rules;
  6. (f) process transactions on behalf of a third party (factoring, aggregation, or acting as a payment facilitator) other than for Customer's own End Customers in the ordinary course of Customer's business.

2.3 Harm the platform or other users

  1. (a) probe, scan, or test the vulnerability of the Services or any related system, or breach, circumvent, or interfere with any security, authentication, rate-limiting, or access control;
  2. (b) access any account, data, or resource other than one the User is authorized to access;
  3. (c) upload, transmit, or introduce any virus, worm, ransomware, trojan, spyware, or other malicious code;
  4. (d) send excessive, automated, or high-volume requests that impair the availability or performance of the Services for other Customers, including denial-of-service and distributed denial-of-service attacks;
  5. (e) use, deploy, or connect any automated tool, bot, harvester, or headless browser to access the Services other than the automation and integration features SellWorthy provides;
  6. (f) copy, mirror, republish, or make available material portions of the Services or Documentation outside of the User's own operations, or use the Services to build or train a competing product or service.

2.4 Post prohibited content

  1. (a) upload, transmit, or store content that is defamatory, harassing, hateful, obscene, or that depicts or promotes sexual exploitation of minors, human trafficking, or credible threats of violence;
  2. (b) upload material that discloses another person's non-public personal information without lawful authority, including national identifiers, financial account numbers not required for a legitimate payment, or protected health information;
  3. (c) upload personal information about End Customers that the Customer does not have a lawful basis to collect and process for the purposes described in the Customer's engagement with the End Customer;
  4. (d) use the Services to store payment card numbers, security codes, or authentication credentials in free-text fields (payment card handling is provided through Stripe and must be used through the Stripe-backed features of the Services).

2.5 Misuse AI features

The Services include AI-assisted features such as image rendering and drafting helpers. A User shall not:

  1. (a) use an AI feature to generate content that violates any other section of this AUP;
  2. (b) present an AI-generated image, message, or document as an unaltered photograph, direct quote, official record, or human-authored work when it is not;
  3. (c) submit third-party photos, artwork, or copyrighted material into an AI feature without the rights or licenses required for that use;
  4. (d) attempt to reverse engineer, extract, or reconstruct the underlying models, prompts, or training data of the AI providers integrated with the Services.

2.6 Misuse Template Content and legal features

The Services provide contract templates, warranty language, cancellation clauses, terms-and-conditions blocks, and other pre-drafted or AI-drafted text ("Template Content"). Template Content is provided as a starting point and drafting convenience only. It is not legal advice, and SellWorthy is not the User's attorney or law firm. A User shall not:

  1. (a) hold out SellWorthy as having provided legal advice for any transaction produced through the Services;
  2. (b) use Template Content in a jurisdiction or transaction where it is unlawful or where its language conflicts with mandatory local requirements, without appropriate attorney review;
  3. (c) remove or alter language in Template Content that is designed to satisfy a legal requirement (for example, right-to-cancel or right-of-rescission disclosures) unless replaced with equivalent, jurisdictionally correct language reviewed by qualified counsel.

3. Responsibility for Users, End Customers, and Content

Each Customer is responsible for:

4. Enforcement

SellWorthy may investigate any suspected violation of this AUP. Enforcement actions include, without limitation:

SellWorthy is not obligated to monitor use of the Services, but reserves the right to do so. SellWorthy may act on complaints from Customers, End Customers, third parties, and integrated providers (including Stripe and messaging vendors), and may take action based on information available to it in good faith.

Suspension or termination for AUP violation does not entitle the User to a refund, and does not limit any other remedy available to SellWorthy under the Terms or applicable law.
